General Terms and Conditions of Sale

1. General Scope & Binding Agreement

These General Terms and Conditions of Sale apply to all commercial proposals, quotations, purchase orders, and sales of industrial food ingredients, additives, organic oils, natural antimicrobials, and specialty formulations provided by Gillco Products, LLC ("Seller") to commercial buyers ("Buyer").

Any modifications or supplementary agreements must be executed in writing by authorized commercial representatives from both parties. Purchase orders submitted by the Buyer are subject to written acceptance by the Seller.

2. Quality Assurance, Food Safety & E-E-A-T Compliance

Gillco operates under rigorous Quality Management Systems (QMS) compliant with FDA FSMA (Food Safety Modernization Act), USDA Organic Certification, and GFSI-recognized standards.

Product Specifications & COA

Every ingredient shipment is accompanied by a batch-specific Certificate of Analysis (COA) confirming adherence to agreed physical, chemical, and microbiological specifications.

• Traceability: Full lot traceability is maintained from primary manufacturing source through warehousing to final delivery.
• Regulatory Documentation: Allergen statements, Nutritional Profiles, Non-GMO verification, Kosher/Halal certifications, and Safety Data Sheets (SDS) are provided upon request.
• Technical Assistance: Technical application advice provided by Seller’s technical experts is given in good faith but without warranty regarding specific factory formulations.

3. International Trade, Pricing & Payment Terms

All international and domestic commercial operations adhere to standard Incoterms® rules as agreed in specific sales contracts or proforma invoices.

• Pricing Structure: Quoted prices are expressed in USD unless explicitly negotiated otherwise and exclude applicable tariffs, customs duties, or import taxes.
• Payment Terms: Commercial credit terms (e.g., Net 30, Commercial Irrevocable LC, CAD) are extended subject to credit evaluation and approval.
• Currency & Bank Transfer: Wire transfers must be executed to Seller's designated institutional bank account. Buyer is responsible for intermediary bank fees.

4. Shipping, Delivery & Risk Transfer

Shipment schedules and lead times are estimated in good faith based on raw material availability and carrier routing. Seller is not liable for transport delays arising from customs clearance, force majeure events, or global shipping disclaimers.

Risk of loss or damage transfers to the Buyer according to the designated Incoterm (e.g., FOB, CIF, CFR, or FCA warehouse). Buyers are advised to inspect transport packaging immediately upon receipt.

5. Inspection, Non-Conformance & Claims Policy

To ensure complete quality integrity, Buyer must inspect all delivered goods upon arrival:

• Visual Damage & Shortages: Notice of visible transport damage or quantity variance must be recorded on the Bill of Lading (BOL) and reported to Seller within 3 business days.
• Quality Claims: Claims regarding non-conformance with product specifications must be submitted in writing within 14 calendar days of receipt, accompanied by analytical testing results.
• Returns: No material may be returned without prior issuance of a Return Material Authorization (RMA) from Gillco Quality Assurance.

6. Governing Law & Dispute Resolution

These terms shall be governed by and construed under the laws of the State of California, United States, without giving effect to conflicts of law principles. Commercial disputes shall be settled through good-faith negotiation or binding arbitration.
